1. Description of Service

Charter is an AI-powered study platform designed to help candidates prepare for the CFA Level I examination. The Service may include personalized study plans, diagnostic assessments, practice questions, AI tutor support, progress tracking, readiness scores, topic mastery indicators, and related learning features. Charter is a supplementary study tool and is not a replacement for official CFA Institute materials or your own independent preparation.

2. CFA Institute Disclaimer

Charter is not affiliated with, endorsed by, sponsored by, reviewed by, approved by, or associated with CFA Institute in any way. CFA® and Chartered Financial Analyst® are registered trademarks owned by CFA Institute. CFA Institute does not endorse, promote, review, sponsor, warrant, or approve Charter, the Service, or any Charter content. Charter is an independent study tool and is not an official CFA Program prep provider.

3. Use of CFA References and Public Exam Information

Charter may reference publicly available CFA Program topic areas, exam structure, and Learning Outcome Statements for organizational and study-planning purposes. Charter does not claim ownership of CFA Institute trademarks, official curriculum materials, exam content, or proprietary CFA Institute materials. You may not upload, paste, reproduce, distribute, or submit official CFA Institute curriculum content, exam content, or copyrighted third-party prep provider materials into the Service unless you have the legal right to do so.

4. No Guarantee of Exam Results

Charter does not guarantee that use of the Service will result in passing the CFA examination, achieving any particular score, improving by any specific amount, or receiving any credential. Exam success depends on many factors outside Charter's control, including your preparation, prior knowledge, consistency, official curriculum review, exam-day performance, and other circumstances. Readiness scores, progress metrics, recommendations, and topic mastery indicators are estimates based on practice activity and should not be interpreted as predictions of actual exam results.

5. Account Registration and Eligibility

To use the Service, you must create an account with accurate and complete information. You must be at least 18 years old to create an account or use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us promptly of any unauthorized access or suspected security issue involving your account.

6. Subscription, Billing, and Payment

Access to certain features requires a paid subscription. Subscription fees are billed on a recurring monthly basis through Stripe or another payment processor we may use. By subscribing, you authorize us and our payment processor to charge your payment method for recurring fees, applicable taxes, and any other charges you authorize. Unless otherwise stated, fees are quoted in Canadian dollars. Subscriptions renew automatically unless cancelled before the next billing date.

7. Cancellation and Refunds

You may cancel your subscription through your account settings or by contacting us at billing@getcharter.io. Cancellation takes effect at the end of the current billing period, and you will continue to have access until that date. Except where required by law, fees are non-refundable and refunds are not provided for partial billing periods. We may, at our discretion, provide refunds or credits in cases of billing error, duplicate charge, technical failure, or other exceptional circumstances.

8. Founding Cohort Pricing

If you subscribe under a founding cohort or promotional pricing offer, the stated monthly rate is locked for the lifetime of that continuous subscription, provided the subscription remains active, paid, and in good standing. If the subscription is cancelled, paused, terminated, or later reactivated, the founding cohort rate may no longer be available. We may modify, discontinue, or limit founding cohort offers for new subscribers at any time.

9. Beta and Product Changes

Charter may be offered as an early-stage, beta, or evolving product. Features may change, be added, removed, interrupted, improved, or discontinued as we develop the Service. We do not guarantee that any particular feature, study plan, question set, AI tutor behavior, analytics dashboard, or workflow will remain available permanently. We may modify, suspend, or discontinue any part of the Service with reasonable notice where practical.

10. Acceptable Use

You agree not to:

• Share, sell, transfer, or allow others to use your account credentials
• Reproduce, distribute, publish, scrape, resell, or commercially exploit Service content, including practice questions, explanations, study plans, AI tutor responses, prompts, user interface elements, or software
• Upload, paste, or submit official CFA Institute curriculum materials, exam content, or copyrighted third-party prep provider materials unless you have the legal right to do so
• Use bots, scrapers, automated tools, or bulk extraction methods to access the Service
• Attempt to reverse-engineer, decompile, extract source code, bypass security, or interfere with the Service
• Use the Service for unlawful, misleading, harmful, abusive, or infringing purposes
• Disrupt the operation, security, availability, or integrity of the Service

11. User Content and Licence to Charter

You retain ownership of information and content you submit to the Service, including answers, prompts, messages, feedback, and study inputs. You grant Charter a limited, worldwide, non-exclusive, royalty-free licence to use, process, store, display, analyze, and transmit that content as necessary to provide, maintain, secure, troubleshoot, improve, and develop the Service. We may use aggregated or anonymized information that does not identify you for analytics, research, product improvement, and business purposes.

12. Intellectual Property

All content, features, and functionality of the Service, including practice questions, explanations, study plans, AI tutor prompts, product design, user interface, branding, software code, workflows, and original Charter materials, are owned by Nexseen Media Inc. or its licensors and are protected by Canadian and international copyright, trademark, and intellectual property laws. Subject to these Terms, you are granted a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your own non-commercial study purposes only.

13. AI Tutor Disclaimer

The AI tutor feature is powered by third-party artificial intelligence technology. AI-generated responses may be incomplete, outdated, incorrect, misleading, or inconsistent. The AI tutor is a supplementary learning aid and should not be relied upon as the sole source of study material, exam guidance, financial advice, legal advice, or professional advice. You should cross-reference important concepts with official CFA Institute curriculum materials and other reliable sources.

14. Content Accuracy and Review

We make reasonable efforts to improve the accuracy and quality of practice questions, explanations, topic mapping, and study recommendations, including review by qualified reviewers where practical. However, we do not warrant that all content is error-free, complete, current, or suitable for your specific needs. If you identify an error, you may contact us so we can review and correct it where appropriate.

15. No Professional Advice

The Service is provided for educational and study-support purposes only. Nothing in the Service constitutes financial, investment, accounting, tax, legal, career, or other professional advice. You are responsible for your own study decisions, exam preparation, and use of any information provided through the Service.

16. Privacy

Our collection, use, disclosure, and protection of personal information is described in our Privacy Policy. By using the Service, you acknowledge that you have reviewed the Privacy Policy.

17. Service Availability

We strive to maintain reliable access to the Service, but we do not guarantee uninterrupted, error-free, or secure availability. The Service may be unavailable due to maintenance, updates, technical issues, third-party outages, security incidents, or circumstances beyond our control.

18. Termination

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay required fees, create risk for Charter or other users, infringe intellectual property rights, misuse the Service, or engage in conduct that harms the Service, our business, or other users. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination, including intellectual property, payment obligations, disclaimers, limitation of liability, indemnity, and governing law, will remain in effect.

19. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, non-infringement, or that the Service will meet your requirements or produce any particular exam outcome.

20. Limitation of Liability

To the maximum extent permitted by applicable law, Nexseen Media Inc. and its officers, directors, employees, contractors, service providers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Service, including failure to pass the CFA examination, loss of data or study progress, interruption of service, reliance on AI-generated content, or unauthorized access to your account. Our total liability for any claim arising from or related to the Service will not exceed the amount you paid to Charter for the Service in the twelve (12) months preceding the claim.

21. Indemnity

You agree to indemnify and hold harmless Nexseen Media Inc., its officers, directors, employees, contractors, service providers, and agents from claims, damages, losses, liabilities, costs, and expenses arising from your misuse of the Service, violation of these Terms, infringement of third-party rights, or submission of materials you do not have the right to use.

22. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

23. Changes to These Terms

We may modify these Terms from time to time. Material changes will be communicated through the Service, by email, or by another reasonable method. Updated Terms will become effective when posted or on the date stated in the notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you should discontinue use of the Service.
